These Terms of Service (the "Terms") govern your access to and use of the website, API, software and services (collectively the "Service" or "Services") provided by DocumentAlchemy ("DocumentAlchemy", "Us" or "We""). By accessing and using the services, you agree to be bound by all of the terms and conditions of these Terms.
A breach or violation of any of the Terms may result in an immediate termination of your Services.
The headings used in this agreement are included for convenience only and will not limit or otherwise affect these Terms.
By accessing or using our services, you agree to the terms; if you don’t agree, don’t use the service.
While using our Service, we may ask you to provide us with certain personally identifiable information that can be used to contact or identify you. This information may include, but is not limited to your name and email address ("Account Information"). Your Account Information must be accurate and up-to-date. Your account will give you access to the Services.
If you use a third-party service to connect to the Services, you give us permission to access, use and store your Account Information from the third party service as permitted by such service.
Access to or use of the Services may require the presentation of a user identifier, password, API key or other form of identification or authentication ("Credentials"). You are responsible for maintaining the confidentiality of your Credentails. You agree not to share your Credentials with any other individual. You agree to immediately notify us of any unauthorized use of your account or Credentials. You will be solely responsible and liable for any and all access to and use of the Services (including all activities and transactions) by any person logging in under your Account Information or Credentials.
If you want to use our services you must create an account so we can know who you are, how to contact you and what you should have access to.
You must keep your authentication credentials secure. You are responsible for the activities performed by your account, so don't share your credentials with others.
"Your Data" means any and all information and content that you submit to or use with our Services as well content directly generated from content that you submit to our Services (including, but not limited to documents, files and other data, but excluding Account Information).
While DocumentAlchemy will make commercially reasonable efforts to ensure that all facilities used to store and process Your Data meet a high standard for security, you are solely responsible for Your Data. You assume all risks associated with use of your Your Data, including any reliance on its accuracy, completeness or usefulness by others, or any disclosure of Your Data.
In order for us to provide the Service to you, we require that you grant us certain rights with respect to Your Data. For example, we need to be able to transmit, store, copy and process Your Data in order to fulfill certain API requests. Your acceptance of these Terms gives us the permission to do so and grants us any such rights necessary to provide the Service to you, only for the purpose of providing and improving the service (and for no other purpose).
This permission includes allowing us to use third-party service providers (such as cloud hosting services) in the operation and administration of the Service and the rights granted to us are extended to these third parties to the degree necessary in order for the Service to be provided.
You also agree not to:
upload, post, transmit, or otherwise make available any of Your Data that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable;
upload, post, transmit, or otherwise make available any of Your Data that you do not have a right to make available under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements);
impersonate any person or entity, falsely state or otherwise misrepresent your affiliation with a person or entity, or manipulate identifiers in order to disguise the origin of any of Your Data;
upload, post, transmit or otherwise make available any of Your Data in a manner that infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party;
sublicense, resell, rent, lease, transfer or assign the Service or its use, or offer the Service on a time share basis to any third party;
use the Service to upload, post, transmit, or otherwise make available any unsolicited or unauthorized advertising, promotional materials or any other form of solicitation;
use the Service to upload, post, transmit, or otherwise make available any software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware;
interfere with or disrupt the Service or servers or networks connected to the Service, or disobey any requirements, procedures, policies or regulations of networks connected to the Service, including using any device or software;
modify, adapt, or hack the Service, including by using any non-public APIs, or otherwise attempt to gain unauthorized access to the Service or its related systems or networks.
intentionally or unintentionally violate any applicable local, state, national or international law in connection with your use of the Service, including, without limitation, any regulations having the force of law;
use the Service to provide material support or resources (or to conceal or disguise the nature, location, source, or ownership of material support or resources) to any organization(s) designated by the United States government as a foreign terrorist organization pursuant to section 219 of the Immigration and Nationality Act.
You acknowledge that DocumentAlchemy and its designees shall have the right (but not the obligation) in their sole discretion to pre-screen, refuse, or remove any of Your Data that is submitted to the Service. We may also review Your Data transmitted through non-public mechanisms where we deem appropriate, including for violations of tehese Terms or in response to a user complaint. Without limiting the foregoing, DocumentAlchemy and its designees shall have the right (but not the obligation) to remove any of Your Data that violates the Terms or is otherwise objectionable.
You acknowledge, consent and agree that DocumentAlchemy may access, preserve and disclose your Account Information and Your Data if required to do so by law or in a good faith belief that such access preservation or disclosure is reasonably necessary to: (i) comply with legal process; (ii) enforce the Terms; (iii) respond to claims that any of Your Data violates the rights of third parties; (iv) respond to your requests for customer service; or (v) protect the rights, property or personal safety of DocumentAlchemy, its users and the public.
If any users send us any feedback or suggestions regarding the Service, you grant DocumentAlchemy an unlimited, irrevocable, perpetual, free license to use any such feedback or suggestions for any purpose without any obligation to you.
Anything you upload or post is yours. As such, you are responsible for it and for anything bad that happens to you because of it. Make sure you have the right to share it with us.
Since you own your data, we will never distribute or share it (except when compelled to by law), but you must allow us to copy, store and process your data (as you designate) in order to provide our services.
You promise not to do anything illegal or creepy with our service. We reserve the right to delete your content and/or terminate your account if you do.
These Terms shall be governed and construed in accordance with the laws of the Commonwealth of Virginia, United States, without regard to its conflict of law provisions.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service, such determination shall not affect the validity and enforceability of any other remaining provisions.
These Terms of Service and any policies or operating rules posted by us on this site or in respect to the Service constitutes the entire agreement and understanding between you and us and govern your use of the Service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Service).
Any ambiguities in the interpretation of these Terms of Service shall not be construed against the drafting party.
These Terms of Service, and your rights and obligations herein, may not be assigned, subcontracted, delegated, or otherwise transferred by you without our prior written consent, and any attempted assignment, subcontract, delegation, or transfer in violation of the foregoing will be null and void. These Terms of Service shall be binding upon assignees.
Since the laws vary from place to place, we need to choose one. If it comes to it we'll use the laws and courts of Virginia to handle any disputes.
The only agreement between us are these terms.
If we don’t exercise a right here, it doesn’t mean we waive it for all eternity.
Even if there is a problem with one part of this agreement, the rest of the agreement is still valid.
You can’t transfer these terms to anyone else.
We do not guarantee, represent or warrant that your use of our Service will be uninterrupted, timely, secure or error-free.
We do not warrant that the results that may be obtained from the use of the Service will be accurate or reliable.
You agree that from time to time we may remove the service for indefinite periods of time or cancel the service at any time, without notice to you.
You expressly agree that your use of, or inability to use, the service is at your sole risk. The service and all products and services delivered to you through the service are (except as expressly stated by us) provided 'as is' and 'as available' for your use, without any representation, warranties or conditions of any kind, either express or implied, including all implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, durability, title, and non-infringement.
In no case shall DocumentAlchemy, our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of the service or any products procured using the service, or for any other claim related in any way to your use of the service or any product, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the service or any content (or product) posted, transmitted, or otherwise made available via the service, even if advised of their possibility. Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions, our liability shall be limited to the maximum extent permitted by law.
You agree to indemnify, defend and hold harmless DocumentAlchemy and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms of Service or the documents they incorporate by reference, or your violation of any law or the rights of a third-party.
Use this service at your own risk. We're only human. If we make a mistake, you agree not to sue us.
We reserve the right to refuse service to anyone for any reason at any time.
We may terminate or suspend access to our Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.
The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes.
These Terms of Servicer are effective unless and until terminated by either you or us. You may terminate these Terms of Service at any time by notifying us that you no longer wish to use our Services, or when you cease using our site.
If in our sole judgment you fail, or we suspect that you have failed, to comply with any term or provision of these Terms of Service, we also may terminate this agreement at any time without notice and you will remain liable for all amounts due up to and including the date of termination; and/or accordingly may deny you access to our Services (or any part thereof).
While we hope you won't, you can call this off at any time. So can we.
Any new features or tools which are added to the Service shall also be subject to these Terms.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. You can review the most current version of the Terms on this page. If we make any material changes to these Terms we will notify you either through the email address you have provided us, or by placing notice on our website. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
We might change these terms from time to time. If we make any big changes, we’ll give you notice, and you can always check back here for the latest version.
